Please register here to reserve your seat. Summary: The importance of corporate governance is undeniable. As mechanisms to protect investors and guidelines for corporate management, corporate governance have been widely regarded as precepts for the management to follow, especially in a large public company. However, it is extremely difficult, almost impossible, for the manager to follow the precepts all the time while he is working to achieve corporate goals and satisfy investors at the same time. The management needs to choose the proper governance strategy to deal with the conflicts of interest within firm when they arise. Understanding the rationales of firm’s governance mechanisms is essential not only for corporate manager, but also for investors in order to protect themselves from expropriation and assure the return from their investment.
